Third-Party Integrations

The Services may connect to third-party platforms such as Google Ads, Meta Ads, Google Analytics, Google Search Console, HubSpot, Salesforce, and other marketing or analytics tools. Your use of those platforms is governed by their own terms and policies.

You are responsible for maintaining valid accounts and permissions for any integration you connect, and for complying with the rules and policies of each connected platform. SproutMe is not responsible for the availability, accuracy, or actions of third-party services.

Acceptable Use

You agree not to:

  • Use the Services for any unlawful, deceptive, or fraudulent purpose
  • Attempt to gain unauthorized access to the Services, systems, or other accounts
  • Interfere with, disrupt, or place undue load on the Services or supporting infrastructure
  • Reverse engineer, copy, resell, or create derivative works from the Services without our permission
  • Upload malicious code, malware, or content that infringes the rights of others
  • Misrepresent your identity, affiliation, or authority to act on behalf of another party
  • Use the Services to violate applicable law or the policies of connected advertising platforms

We may suspend or terminate access for conduct that we reasonably believe violates these Terms or exposes SproutMe or its users to risk.

AI-Generated Content

Some features generate content, recommendations, forecasts, or other output using AI. AI output may be inaccurate, incomplete, or unsuitable for your specific situation, and it does not constitute legal, financial, or professional advice.

You are responsible for reviewing, editing, and approving AI-generated content before publishing or acting on it, and for ensuring it complies with applicable laws, advertising policies, and your own brand and compliance requirements.

Customer Data

You retain ownership of the business, marketing, and performance data you provide or connect to the Services ("Customer Data"). You are responsible for having the rights and permissions necessary to share that data with us.

You grant SproutMe a limited license to process Customer Data as needed to provide, secure, support, and improve the Services. Our handling of personal information is described in our Privacy Policy.

Intellectual Property

SproutMe and its licensors own the Services, including all software, models, designs, branding, documentation, and related intellectual property. These Terms do not transfer any ownership rights in the Services to you.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes.

Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use them without restriction or compensation to you.

Termination

Upon termination, your right to access the Services ends. Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

Disclaimer of Warranties

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy.

Limitation of Liability

To the fullest extent permitted by law, SproutMe will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising from your use of the Services.

Our total liability for any claim relating to the Services will not exceed the amount you paid to SproutMe in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless SproutMe, its affiliates, officers, and employees from claims, damages, liabilities, and expenses arising from your use of the Services, your Customer Data, or your violation of these Terms.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules.

Any disputes arising from or relating to these Terms will be resolved in the state or federal courts located in Santa Clara County, California.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and may provide additional notice through the Services.

Your continued use of the Services after changes become effective means you accept the updated Terms.
